In completing the Affiliate Sign Up form, and subsequently promoting and referring customers to our website, you agree to be bound by all the terms and conditions set out in this agreement.
Acceptance of an Affiliate
The company reserves the right to refuse or accept any registration in its sole and absolute discretion.
Subject Matter and Conditions
The subject matter of the agreement is the inclusion of advertising material provided by us on the affiliate’s website in order to establish a lasting cooperation of mutual benefit between us and you.
We shall provide the affiliate with various advertising materials, including banners, links and texts to be included on the website of the affiliate. We reserve the right to change, restrict or add advertising material at any time.
The affiliate hereby warrants that he/she:
is of legal age in the applicable jurisdiction in order to enter the agreement
is authorized to enter into binding Agreements
is the proprietor of all rights, licenses to promote CoinGames in accordance with this agreement
fully understands and accepts the terms of this Agreement
We expressly point out that the advertising or reference to bets can be subject to legal restrictions in some countries.
Responsibilities of the Company
The company will provide the Affiliate with all the required information and marketing tools for the implementation of the tracking link and administrate the turnover, as well as record the revenue and total amount of commission earned via the tracking link.
The company shall pay the Affiliate the amount due depending on the traffic generated by their promotion.
Responsibilities of the Affiliate
The Affiliate understands that he/she are not entitled to enter into this agreement and include advertising material on their website if the advertising is not permitted according to the regulations of their home country.
To use its best efforts to advertise and promote CoinGames as widely as possible in order to maximize benefit to both parties. The Affiliate will also market and advertise players to CoinGames at its own expense. All of the Affiliate’s marketing activities must be professional and lawful.
The Affiliate will not target any person under the legal age for gambling or any jurisdiction where gambling is unlawful.
The Affiliate will not perform any libelous, discriminatory or unlawful act or that contains graphic or violent material and will generate traffic to CoinGames through fradulent activity, including sending spam or registering as a player a friend, relative or any third party in order to attempt to artificially increase the payable commission.
Agreement and Licenses
CoinGames will provide an online application form that the Affiliate will complete and transmit back electronically on the Affiliate Page. Once the form is submitted, we shall check the application. If we accept it, the Affiliate shall receive confirmation of our decision. We reserve the right to refuse applications at our own will. Once the application is accepted, the Affiliate will receive a tracking link, through which they will be able to check on their players’ performances.
Once entering into the agreement, the Affiliate will obtain the non-transferable right that may be terminated at any time to use the advertising material provided by CoinGames. The license for the advertising material will expire once the agreement is terminated.
The design copyright in the advertising material provided under the Affiliate Programme remains exclusively with CoinGames, as well as any other information CoinGames makes accessible to the Affiliate.
Payment and Commission
The company agrees to pay the Affiliate a performance-based commission based on the Net Gaming Revenue generated from new customers referred by the Affiliate website, in accordance with what is set out in the commission structures for the particular product.
New customers are those customers of the company who do not yet have a gaming account with CoinGames and who access the website through the tracking link or banners on the Affiliate’s website.
The commission payment shall be made only if the outstanding Affiliate balance is positive. If the balance is negative due to the user’s performance, the balance shall be carried over to the next month.
The payment of commissions shall be made in BTC only to the player’s CoinGames account in a monthly manner within 30 days of the closing of the period. Acceptance of payment by the Affiliate shall be deemed to be full and the final settlement of the balance due for the period.
The company may delay payment to the Affiliate if it deems or suspects the traffic generated is illegal, while it investigates and verifies such claims.
Termination
The agreement can be terminated by either party at any time by giving a written 30 day notification to the other party and without giving an explicit reason. The Agreement will be terminated if the partner has violated any of its obligations.
If the agreement is terminated, the Affiliate shall immediately delete all of CoinGames’s advertising material included on their website, including images, links, banners and others. All licenses granted to the Affiliate will also terminate and rights will revert back to the original licensors.
After the termination of the agreement, the Affiliate will not be entitled to receive any further compensation, but only to those earned and unpaid commissions as of the effective date of termination. If the Agreement is terminated by the company on the basis of a breach on the part of the Affiliate, then CoinGames reserves the right to withhold the Affiliate’s earned but unpaid commissions, and will not require a notice period.
Warranty and Liability
The Affiliate acknowledges that the use of the internet is at its own risk. The company shall in no way be liable to the Affiliate for any inaccuracy, error or damage caused in whole or in part by failures or interruptions of the CoinGames website or the Affiliate Programme, but will only be liable for cases of gross negligence.
CoinGames undertakes that this website will be operated within the scope of the current technical possibilities.
The liability for cases of gross negligence shall be limited to the amount of the commission paid to the Affiliate within the last six months of the agreement with CoinGames. If the agreement is terminated before the end of the six month period, the commission paid until that date will apply for the calculation of the damage.
Confidentiality
All information, including but not limited to business and financial, customer and buyer lists, price and sales information, records, business plans, processes and personal data of the company shall be treated confidentially. Such information must not be used for commercial or other purposes, or divulged to any third party unless there is prior written consent provided by the company.
E-mail addresses and user data will only be used for internal purposes.
The Affiliate obliges himself/herself not to use the confidential information for any purpose other than the performance of its obligations under this agreement.
Changes to this Agreement
CoinGames reserves the right to amend, alter, delete or add to any of the provisions of this agreement at any time and at its sole discretion. The Affiliate partners shall be notified of the alteration by a notification in his/her affiliate account, or by email. Any changes will be published on the CoinGames website
If the agreement is not terminated one week from the notification of the alteration, the alteration shall be regarded as accepted by the Affiliate partner.
Trademark
Nothing contained within this agreement grants either party (CoinGames or the Affiliate) any right, title or interest in the trademarks, trade names or any other intellectual property rights of the other party.
